Terms & Conditions

This Affiliate agreement (“Agreement”) is applied to persons willing to be affiliate and marketing partners of the Dendera Affiliates Affiliate Program. By registering as an affiliate of the Dendera Affiliates Affiliate Program, downloading a banner code, placing information onto a websites, emailing messages or other formatted documents, and using any other additional marketing tools provided, you are deemed to have agreed to join DenderaAffiliates Affiliate Program and bound by terms and conditions set out in this Agreement.

If you do not agree to sign the following Agreement, you are not permitted to use any provided marketing tools of DenderaAffiliates Affiliate Program such as downloading banner codes, text link codes or any other promotional tools.

Responsibilities of the Affiliate

Marketing and promotional Activities

As an Affiliate it is your responsibility to promote market and refer potential players to DenderaAffiliates Affiliate Program by implementing tracking links, banners, emails or using other marketing communications on your websites.
You agree to register and maintain correct contact information by providing clear data.
Only approved content and topics are valuable to be presented on your site. It is not allowed to modify their appearance or design unless we provide with prior written authorization. Content that is deemed inappropriate will result in the Affiliate Agreement being terminated.
You are responsible for the maintenance, operation and development of all materials used on your site, ensuring that all materials posted are not illegal.
In case of damages, claims or expenses relating to the maintenance, development, operation and contents of your site, you are responsible to re-compensate and hold us innocuous from above mentioned.
Affiliates are fully responsible of ownership, development, operation, maintenance and content of the site, and for all materials that appear on the site, as well as to follow the correct linking and tagging procedure to ensure new customer tracking and payment. All marketing tools and content of DenderaAffiliates Affiliate Program are presented in accordance with our prescriptions.
You will be solely liable for the content and manner of your marketing and promotion activities. All such activities must be conducted at all times in a professional and lawful manner and pursuant to the terms and conditions of this Agreement.

DenderaAffiliates Affiliate Program duties and rights

All players will be registered under your Affiliate link and our responsibility is to track their play and calculate the amounts payable to you in accordance with the applicable payment plan. We reserve a right to refuse new player`s account or close existing accounts if necessary in order to comply with any requirements we may periodically establish, including without limitation with regard to unlawful activities, Fraud and other activities that will lead to breach of the respective Affiliate program`s terms and conditions use.
All payments will be made to you in accordance to applicable payment plan.
As an affiliate you have a right to request online reports regarding Player`s activities and Revenue Commission generated. The form, content and frequency of the reports will be subject to change in our discretion. We will not be liable for the completeness or accuracy of any reports.
All provided information and your identity will be confident and secure, and shall not be provided to any third party, except relevant authorities such as online casino operators, other online service operators and banks, credit card companies, electronic payment providers or other financial institutions of your identity and of any suspected unlawful, fraudulent or improper activity. You as an affiliate will have right to fully cooperate with us in order to investigate any such activity.

Legality

We do not provide any legal recommendation or assurance regarding such legality. If you have any uncertainty about legality of participation at DenderaAffiliates Affiliate Program, please consult legal counsel in the applicable jurisdiction.
You agree to register and maintain correct contact information by providing clear data.
You cannot participate at DenderaAffiliates Affiliate Program if you are under 18 years of age.
We deserve the right to ask for the valid documentation and your account may be suspended until satisfactory proof of age is provided. You can only participate at DenderaAffiliates Affiliate Program if you are of the legal age determined by any applicable laws in your jurisdiction.
You agree that you will not allow, encourage or assist others directly or indirectly market and promote DenderaAffiliates Affiliate Program to persons that are under the age of 18.
You must ensure that any material posted on your site is legal and does not contravene copyright or violate any rights.
Ownership and content of our and our client’s sites remain our respective properties and shall not be used, copied or transferred to the third party without prior notification in respect of the affiliation agreement.
You have the right to modify any of the terms and conditions contained in this Agreement by previous notification and clear explanation of the changes made in Agreement.
The validity of this Agreement, its construction, interpretation, and enforcement, and the rights of the parties here will be determined under, governed by, and construed in accordance with the laws of the countries of Panama and Curacao.

Notices
Any notice we provide you will be sent to the email address that you provided upon your registration in our data base. It is your responsibility to give us notice of any changes to this address and regularly check your email account for emails from DenderaAffiliates Affiliate Program. We will not be responsible for your failure to receive any notices if your contact details are incorrect.

Anti-Spam Policy
It is forbidden to send any unsolicited mass e-mails or unsolicited e-mails of any kind in connection with the marketing or promoting DenderaAffiliates Affiliate Program`s products and services.

Any suspicion in violation of anti-spamming policies will result in your account being placed under review and all funds being withheld pending during the investigation process. In case the results of investigation are being approved and such unlawful activity as Spanning has been taken, all funds, bonuses and commissions will be deducted from the account holder, and account as well as participation in our program will be suspended.

We consider spaming to be any activity where any kind of advertisements are placed on message boards, chat rooms, forums and constitute posting in newsgroups where such action is prohibited and causes violation of the terms or participation in such newsgroups. Transition of e-mail messages directly or indirectly to any email address that has not solicited such email and does not consent to such transmission is also considered as spaming.

In case there is a suspicion of the spaming. directly and indirectly by anyone regarding our web site, services, products, programs or any other matters, we kindly ask you to report a full information on such activity immediately for appropriate measures to be taken.

Fraud
DenderaAffiliates Affiliate Program does not accept any form of known/unknown, suspended or un suspended Fraud and has zero tolerance for fraudulent activity. Any allowance, assistance, promotion, encouragement or benefit, directly or indirectly, from act or traffic that involves fraudulent activity from affiliate side, will be forced to stop immediately. If such action persists, we reserve a right to withhold or blackout amounts generated by Fraud Traffic from affiliate account, regardless whether or not affiliate knew about or participated in such action. If such action was taken purposely, we have a right to terminate this Agreement effective immediately, forfeit any and all Affiliate Fees and initiate any legal actions as deemed appropriate.

Revenue sharing, payments and fees
All payments will be due and payable at the end of each calendar month according to the revenue share on the commission earning generated by each customer. All final calculations in connection to the amount payable (less charge backs, complimentary money, free money offers and other incentives offered to the customer) will be made by us and based on our systems data and records.

We reserve the right to make changes to your revenue share plan upon notice to you. Any changes made will apply from the date such notice has been received. All fraudulent revenue will be put under investigation and appropriate measures will be taken. You shall have no claims to revenue commission or other compensations on business secured by or trough persons other than yourself. In case you have player account on one of the sites, we reserve the right not to include your losses or rakes as a player in the revenue commission due to you. You are fully responsible for all taxes, fees and other costs incidental to and arising from any payments made to you under this Agreement, including without limitation processing fees. We reserve the right to delay or withhold payment if any supporting documents are not provided to us on time. Copying or content stealing is prohibited and we reserve the right to close your account with us if you will be proven to use such methods.

Revenue share plan
Under the Revenue Share payment plan we will agree to pay you a 30% commission by us on your Net Revenue in casino.

The term "Casino Gross Revenue" shall mean the sum total of all of a new purchasing player's bets while playing at the Site, less the winnings of a new purchasing player, less any credits, bonus or promotional amounts given to a new purchasing player, less any chargebacks (including amounts paid as a result of credit card abuse or fraud, or paid to a new purchasing player by the Company to settle a claim involving the allegation of credit card or other abuse or fraud) or any uncollectable revenue attributable to a new purchasing player.

Payments of commissions shall be made directly to you as per your preferred payment method elected by you as part of your application process. In the event that the commission to be paid to you in any calendar month is less than $150 (the "Minimum Amount"), DenderaAffiliates shall not be obligated to make the payment until such time as the commission is equal to or greater than the Minimum Amount. DenderaAffiliates reserves the right to review all commissions for possible Fraud, where such Fraud may be on the part of the new purchasing player or on your part. Any incidence of Fraud on your part constitutes a breach of this Agreement, and DenderaAffiliates retains full authority to terminate this Agreement immediately in the event of such breach. Further, in the event that DenderaAffiliates deems that fraud has occurred, either on your part or on the part of a new purchasing player, you shall not be entitled to receive any commissions which have accrued to your benefit at such time whether such commissions were generated through fraud or otherwise. DenderaAffiliates retains the right to set-off from future commissions payable to you any amounts already received by you which can be shown to have been generated by Fraud. You are urged to provide accurate details in regard to the manner and information relating to your preferred method of receiving commissions and DenderaAffiliates shall not be held liable for your delayed receipt of commissions due to your provision of inaccurate details.

DenderaAffiliates Sub-Affiliates
Any person that is being introduced to us by you and joins the DenderaAffiliates Affiliate Program as an affiliate thereof, by submitting to us the standard application form trough the Sub-Affiliate link on the DenderaAffiliates Affiliate Program site, will be considered, subject to our prior approval, to be your Sub-Affiliate and tracked as such. Any Sub-Affiliate will be treated as a regular affiliate in the DenderaAffiliates Affiliate Program and will be bound by the terms and conditions of this Agreement, and you will be liable to us, jointly and severally with any Sub-Affiliate, for the performance of such Sub-Affiliate`s obligations under the Agreement.

You may not refer to us as your Sub-Affiliates any persons or entities that were registered as our affiliates in the past, and any such persons or entities will not be considered your Sub-Affiliates under this Agreement. We reserve the right, in our sole discretion, to reject a Sub-Affiliate application.

You as an Affiliate will receive 5% commission on every 1st tier Sub-Affiliate in relation to you at DenderaAffiliates Affiliate Program.

Proprietary rights
DenderaAffiliates Affiliate Program provides you with marketing tools that can be used for commercial use only. You, your family members, friends or other associates are prohibited to make direct or indirect deposits trough any of your trackers, for either your or their personal use or to increase the amounts payable to you under this Agreement by any act that involves Fraud. In case you would like to make additional deposits to you account, in order to evaluate the system, a previous notification should be made, for charges to be refunded. Violent or prohibited transactions will be concerned as Fraud.

All information that has been provided by and about players will remain our as exclusive property and all necessary information will be held in our data base.

If you wish to make test transactions to evaluate the system, including Deposits, please contact info@denderaaffiliates.com so we can refund the charges once you have completed your testing.

Non-exclusive, revocable, non-transferable sublicense, for term of this Agreement, is given to you in order to use any Trademarks for the display of the text links and banners on your site. Your right to use the Trademarks is limited to and arises only out of the sublicense herein granted. We have the right to terminate this sublicense at any time by written notice to you. This sublicense will be terminated automatically upon the termination of this Agreement for any reason. You shall not register or attempt to register any logo, trade mark, trade name, design, domain name or similar identifying material that contain, are confusingly similar to or are comprised of any Trademarks.

Term and Termination
The term of this Agreement will take an effect when you submit your affiliate application and when you will start to promote DenderaAffiliates Affiliate Program. This agreement will be continuous until terminated by either party. For purposes of notification of the termination via e-mail and within 30 days, is considered written and immediate form of notification.

Further we may terminate this Agreement if any of below is being suspected:

Affiliate or players are participating in Fraud activities;
Players have received payments or other financial incentives, that we have doubt in respect to your true identity;
Any activities that has taken action which puts on risk the integrity of the Affiliate Program;
Affiliate site is aimed at children and minors (below the age 18 as determined in any applicable jurisdiction); promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; violates intellectual property rights; includes content that is obscene, sexually explicit or violent, libelous; promotes any unlawful activities or is unsuitable, inappropriate in our discretion.

In case of termination Affiliate is obligated to return confidential information, remove any used marketing communication tools from the web site, such as banners, URL`s, promotional contents, logos, service marks, trademarks and stop any other promoting activities and designations of the merchants. Affiliate will lose all rights and licenses given in this Agreement and it will be terminated immediately. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid and that there are no debts or liabilities owing from you to us. We will be entitled to deduct from any payments due and payable to you, any such debts and liabilities due to us, if any.

Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the referral program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement. Nothing in this Agreement shall be construed to provide any rights, remedies or benefits to any person or entity not a party to this Agreement. Our obligations under this Agreement do not constitute personal obligations of our directors, officers or shareholders. Any liability arising under this Agreement shall be satisfied solely from the referral fee generated and is limited to direct damages.

Nothing in this Agreement shall be construed to provide any rights, remedies or benefits to any person or entity not a party to this Agreement.

Confidentiality and Non-Disclosure
While participating in DenderaAffiliates Affiliate Program, you might obtain certain information which is either marked or is confidential and proprietary. All such confidential information should be kept in strict confidence and any usage of it is prohibited, directly or indirectly, for any purpose other than the purpose of this Agreement. Generally known public information shall not be included in the context of Confidential Information, or information required to be disclosed by applicable law or any legal agency having jurisdiction over you, previous prompt notification should be provided.

During the term of this Agreement, you may be entrusted with confidential information relating to the business, operations, or underlying technology of our Clients and/or the affiliate program. You agree to avoid disclosure or unauthorized use of the confidential information to third parties or outside parties unless you have our prior written consent and that you will use the confidential information only for purposes necessary to further the purposes of this Agreement. Your obligations with respect to confidential information shall survive the termination of this Agreement. By opening an account with a customer, that entity will become our customers, all Client rules, policies and operating procedures should apply. The merchants assume ownership of the customer at point of first contact with the visitor. You, as affiliate, act as a referring agent for the merchants. We reserve the right to refuse customers and close their accounts if necessary to comply with any requirements we may periodically establish.

Amendments to Agreement
DenderaAffiliates Affiliate Program reserves the right to aim any of the terms and conditions contained in this Agreement in any time by posting the amended agreement on Terms and Conditions page on our site. Any changes will take effect from the date specified at the head of the Agreement and you are solely responsible for learning of any such amended versions and changes. It is your responsibility to check from time to time if any changes have been made, although it is our responsibility to insure that you are previously notified when such changes apply. None of our employees, officers or agents may orally amend, modify or waive any provision of this Agreement. None of our employees, officers or agents may orally amend, modify or waive any provision of this Agreement.

Miscellaneous
- Governing Law and Jurisdiction
This Agreement will be governed by the laws of Panama without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in Panama and you irrevocably consent to the jurisdiction of its courts.

Assignability and Enurement
You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against you and us and our respective successors and assigns.

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. No modification, deletions, interlineations or additions of this agreement are permitted or will be recognized by us. None of our employees, officers or agents may verbally alter, modify or waive any provision of this Agreement.

Our rights and remedies hereunder shall not be mutually exclusive, i.e., the exercise of one or more of the provisions of this Agreement shall not preclude the exercise of any other provision. You acknowledge, confirm, and agree that damages may be inadequate for a breach or a threatened breach of this Agreement and, in the event of a breach or threatened breach of any provision of this Agreement, the respective rights and obligations of the parties may be enforceable by specific performance, injunction, or other equitable remedy. Nothing contained in this Agreement shall limit or affect any of our rights at law, or otherwise, for a breach or threatened breach of any provision of this Agreement, it being the intent of this provision to make clear that our respective rights and obligations shall be enforceable in equity as well as at law or otherwise.

Whenever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under applicable law but, if any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective only to the extent of such invalidity, or un enforceability, without invalidating the remainder of this Agreement or any provision hereof. No waiver will be implied from conduct or failure to enforce any rights and must be in writing to be effective.

- No Warranties
EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE DENDERAAFFILIATES AFFILIATE PROGRAM OR TO ANY ARRANGEMENTS CONTEMPLATES BY THIS AGREEMENT, INCLUDING WITHOUT LIMITATION WITH REGARD TO THEIR FUNCTIONALITY, FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, MERCHANTABILITY, LEGALITY OR NON-INFRINGEMENT.IN ADDITION, WE MAKE NO PRESENTATION THTAT THE OPERATION OF OUR SITE WILL BE UNINTERUPTED OR ERROR-FREE AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

IN WITNESS THEREOF
By having read, the terms and conditions, and acknowledging such in the Affiliate sign-up form you agree to all the terms and conditions contained herein. DenderaAffiliates Affiliate Program reserves the right to withhold payment from any Affiliate that violates any of the terms and conditions contained herein.
